END USER LICENCE AGREEMENT

This End User Licence Agreement (“Agreement”) is a legally binding agreement between you (“User”, “you”, or “Licensee”) and WEKIT ECS LIMITED, a company incorporated in Ireland under Company Number 608281, with its registered office at Grange House, 94 Foxrock Avenue, Dublin 18, D18 N220, Ireland (“WEKIT”, “Company”, “Licensor”, “we”, “us”, or “our”).

WEKIT operates in the field of information technology and computer service activities (NACE 6209) and develops extended reality technologies for immersive training, knowledge capture, remote assistance, and operational support.

This Agreement governs your access to and use of the MirageXR platform, including any associated software, cloud services, XR functionality, updates, documentation, content tools, and related technologies (together, the “Application” or “MirageXR”).

By downloading, installing, accessing, or using MirageXR, you confirm that you have read, understood, and agree to be bound by this Agreement. If you do not agree to this Agreement, you must not download, install, access, or use the Application.

1. Definitions and Interpretation

1.1 Definitions

For the purposes of this Agreement:

Application or MirageXR means the extended reality software platform developed and operated by WEKIT for immersive training, procedural guidance, collaboration, and XR-enabled knowledge capture.

Authorised User means any individual authorised to access or use MirageXR under this Agreement or under an organisational subscription, deployment, or licence.

Organisation means any company, educational institution, healthcare provider, research organisation, public authority, or other entity deploying MirageXR for its employees, contractors, students, affiliates, or other authorised personnel.

Services means any hosted, cloud-based, connected, or support functionality provided by WEKIT in connection with MirageXR, including data hosting, analytics, collaboration tools, updates, support services, and system administration.

User Content means any data, XR procedures, workflows, images, videos, recordings, annotations, digital assets, or other materials uploaded, stored, transmitted, or created by users within the platform.

1.2 Interpretation

Unless the context otherwise requires:

  • references to “including”, “includes”, or “such as” are illustrative and shall not be construed as limiting;
  • references to a person include any individual, company, partnership, body corporate, unincorporated association, public authority, or other legal entity;
  • references to legislation or regulations include any amendment, modification, extension, consolidation, re-enactment, or replacement of them;
  • headings are for convenience only and do not affect the interpretation of this Agreement.

Words in the singular include the plural and vice versa where the context permits.

2. Description and Intended Use

MirageXR is an extended reality platform designed to enable individuals and organisations to capture, document, deliver, and support knowledge, procedures, and training through immersive technologies.

Depending on configuration and deployment, MirageXR may enable users to:

  • create and edit XR-based training procedures;
  • capture expert workflows and operational knowledge;
  • provide remote guidance and collaboration;
  • analyse training outcomes and performance metrics;
  • integrate immersive training content with enterprise systems or learning management platforms.

The Application may be provided as a mobile application, a headset-based XR application, a cloud-hosted service, or an enterprise or on-premise deployment, depending on the applicable subscription, technical configuration, or commercial arrangement.

3. Licence Grant

Subject to the terms and conditions of this Agreement, WEKIT ECS LIMITED grants to you a limited, non-exclusive, non-transferable, non-sublicensable, and revocable licence to download, install, access, and use the Application solely for your personal, internal business, educational, research, or other authorised organisational purposes, as applicable, and strictly in accordance with:

  • this Agreement;
  • the applicable documentation made available by WEKIT; and
  • any usage rules or platform terms that apply to the channel through which the Application is made available.

This licence is granted, not sold. No ownership right in the Application is transferred to you. Except for the limited rights expressly granted in this Agreement, all rights, title, and interest in and to the Application, the Services, and all related intellectual property rights are and shall remain vested in WEKIT and its licensors.

You may use the Application only:

  • for lawful purposes;
  • within the scope of the access rights, subscription, or deployment model made available to you;
  • on devices, systems, and environments compatible with the technical requirements specified by WEKIT; and
  • in accordance with any technical, safety, operational, or documentation requirements notified or made available to you.

If you access MirageXR through an Organisation, your use may also be subject to that Organisation’s internal policies and any separate agreement between the Organisation and WEKIT. In the event of a direct conflict between this Agreement and a separate written agreement between WEKIT and the Organisation, that separate written agreement shall prevail to the extent of the conflict in relation to the Organisation’s deployment and authorised use, but this Agreement shall continue to apply to your individual use unless expressly stated otherwise.

4. Enterprise and Organisational Use

Where MirageXR is deployed within an Organisation, the Organisation may administer user accounts, manage permissions, and control access to training content, analytics, and operational data generated through the platform.

The Organisation may also establish internal rules governing appropriate use of the platform by its personnel or participants. You acknowledge that WEKIT is not responsible for the internal governance, policies, or supervisory arrangements of any Organisation using MirageXR.

Where a separate agreement exists between WEKIT and an Organisation governing subscription, deployment, support, or other commercial matters, that agreement may supplement this Agreement.

5. Acceptable and Responsible Use

MirageXR must be used responsibly and only for legitimate purposes such as training, education, research, workflow documentation, operational support, and professional development.

You must comply with all applicable laws and regulations when using the Application.

You must not:

  • engage in unlawful, fraudulent, misleading, or deceptive conduct;
  • upload, store, process, or distribute content that infringes intellectual property rights, confidentiality obligations, privacy rights, or other rights of third parties;
  • upload or transmit abusive, defamatory, discriminatory, threatening, obscene, or otherwise unlawful material;
  • attempt to gain unauthorised access to the Application, related systems, accounts, networks, or data;
  • introduce malware, malicious code, or any harmful technical interference;
  • circumvent or interfere with licence controls, security mechanisms, access restrictions, or technical protections;
  • use the Application to benchmark, replicate, reverse engineer, or develop competing technologies, except to the extent any such restriction cannot lawfully be enforced under applicable law;
  • use the Application in a manner that could impair, disrupt, overburden, or damage the Application or the Services.

WEKIT reserves the right, acting reasonably, to suspend, restrict, remove content from, or terminate access to the Application where it believes that use of the Application breaches this Agreement, applicable law, security requirements, or the rights of third parties.

6. XR Safety and Operational Responsibility

Extended reality technologies may affect a user’s perception of, and interaction with, the physical environment. MirageXR is intended to support training, learning, procedural guidance, and operational assistance, but it does not replace professional judgement, certified instruction, workplace controls, or compliance with applicable health, safety, regulatory, or professional standards.

You, and where applicable the deploying Organisation, remain responsible for ensuring that MirageXR is used safely and appropriately, including, where relevant:

  • maintaining a suitable physical environment for XR use;
  • ensuring adequate supervision of participants;
  • following device and equipment manufacturer instructions;
  • complying with workplace, clinical, laboratory, aviation, industrial, educational, or other applicable safety procedures.

Where MirageXR is used in simulation, training, or assisted operational contexts, any outputs, prompts, overlays, analytics, guidance, or AI-assisted features are intended to support learning and decision-making, and must not be relied upon as the sole basis for any safety-critical, medical, engineering, regulatory, or other high-risk decision.

7. Technical Environment and Device Requirements

MirageXR may require compatible hardware and infrastructure, including XR headsets, mobile devices, cameras, spatial sensors, microphones, peripherals, and network connectivity.

Certain features may process spatial mapping data, gesture inputs, voice commands, or device telemetry necessary to enable immersive XR interaction and core platform functionality.

WEKIT does not warrant or guarantee compatibility with all devices, operating systems, networks, environments, or third-party systems, and compatibility may change over time as technology evolves.

8. User Content

Users may create, upload, store, or transmit User Content within MirageXR, including training procedures, images, videos, annotations, recordings, digital assets, and related materials.

As between you and WEKIT, you retain ownership of your User Content.

By uploading, creating, storing, or transmitting User Content through the Application, you grant WEKIT a limited, worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, transmit, display, and otherwise use that User Content only to the extent reasonably necessary to:

  • provide, operate, maintain, and support the Application and the Services;
  • enable the functionality requested by you or your Organisation;
  • troubleshoot, secure, monitor, and improve the Application and the Services;
  • comply with applicable law, lawful requests, and contractual obligations.

WEKIT does not acquire ownership of User Content by virtue of this Agreement.

You are responsible for ensuring that all User Content is lawful and that you have all necessary rights, permissions, notices, and consents required to upload, use, process, and make available that User Content through MirageXR.

9. Data Protection and Privacy

WEKIT processes personal data in accordance with the General Data Protection Regulation (EU) 2016/679, applicable Irish data protection law, and the privacy information made available by WEKIT in connection with MirageXR.

Depending on the deployment model:

  • WEKIT may act as a controller for limited account management, service administration, and related operational data necessary to provide MirageXR directly to users;
  • where MirageXR is deployed by an Organisation, that Organisation will typically act as the controller, and WEKIT will act as a processor or service provider processing personal data on the Organisation’s documented instructions.

Personal data processed through MirageXR may include:

  • user account identifiers;
  • training activity records;
  • uploaded images, recordings, or videos;
  • XR interaction data;
  • device telemetry and technical usage data necessary for system operation, support, or security.

MirageXR is not designed to perform biometric identification unless such functionality is expressly enabled through authorised integrations and governed by appropriate supplementary terms and compliance measures.

10. Security Measures

WEKIT implements reasonable technical and organisational measures designed to protect personal data, confidential information, and system integrity, including, where appropriate, encrypted communications, secure infrastructure, access controls, monitoring systems, and incident response procedures.

You acknowledge, however, that no system connected to public or shared networks can guarantee absolute security, uninterrupted availability, or complete protection against all forms of unauthorised access, failure, or cyber incident.

11. Subprocessors and International Data Transfers

WEKIT may engage third-party service providers, including cloud hosting, infrastructure, support, analytics, or communications providers, to assist in operating MirageXR and the Services.

Where personal data is transferred outside the European Economic Area or the United Kingdom, WEKIT shall implement appropriate safeguards as required by applicable data protection law.

12. Updates and Maintenance

WEKIT may provide updates, upgrades, patches, bug fixes, security improvements, compatibility changes, and feature enhancements from time to time.

Some updates may be necessary to maintain the secure, lawful, or reliable operation of MirageXR. Where updates are necessary for continued use, compatibility, or security, you agree to install them within a reasonable time, unless applicable law provides otherwise.

Unless expressly agreed in writing, WEKIT is not obliged to make any particular update, enhancement, or new feature available.

13. Intellectual Property

The Application, the Services, and all related materials, including software, algorithms, XR interaction systems, workflows, documentation, designs, interface elements, graphics, branding, and underlying technology, are protected by intellectual property laws.

Except for the limited licence expressly granted under this Agreement, nothing in this Agreement grants you any right, title, or interest in or to the Application, the Services, or any related intellectual property.

All such rights remain vested in WEKIT or its licensors.

Any suggestions, comments, ideas, or feedback you provide regarding MirageXR may be used by WEKIT without restriction or obligation, provided that such use does not infringe applicable data protection or confidentiality obligations.

14. Warranty

To the maximum extent permitted by law, MirageXR is provided on an “as is” and “as available” basis.

WEKIT warrants that the Application will perform substantially in accordance with its documentation when used on supported systems and in accordance with this Agreement.

This warranty does not apply to issues arising from unsupported devices or environments, misuse, unauthorised modification, third-party systems, or failure to follow documentation or required technical requirements.

Nothing in this Agreement limits any statutory rights that cannot lawfully be excluded, including applicable consumer rights relating to digital content and digital services under European Union law.

15. Limitation of Liability

Nothing in this Agreement excludes or limits liability for:

  • death or personal injury caused by negligence;
  • fraud or fraudulent misrepresentation;
  • any other liability which cannot lawfully be excluded or limited.

Subject to the foregoing, and to the maximum extent permitted by law, WEKIT shall not be liable for any indirect, incidental, consequential, special, or punitive loss or damage, or for any loss of profits, revenue, business, anticipated savings, goodwill, business opportunity, or data.

To the maximum extent permitted by law, WEKIT’s total aggregate liability arising out of or in connection with this Agreement, whether in contract, tort (including negligence), breach of statutory duty, or otherwise, shall not exceed the amount paid for the Application or related Services in the twelve months preceding the event giving rise to the claim.

Nothing in this Agreement shall be construed as excluding or limiting your duty to take reasonable steps to mitigate any loss.

16. Export Compliance

You agree to comply with all applicable export control, sanctions, and trade regulations in connection with your access to or use of MirageXR.

The Application may not be downloaded, accessed, exported, re-exported, or used in any manner that would cause WEKIT or you to breach applicable export or sanctions laws.

17. Force Majeure

WEKIT shall not be liable for any delay or failure to perform any obligation under this Agreement to the extent that such delay or failure results from events beyond its reasonable control, including natural disasters, power failures, telecommunications or network outages, cyber incidents, labour disputes, governmental actions, war, civil unrest, or failure of third-party service providers.

18. Suspension and Termination

This licence remains in force until terminated in accordance with this Agreement.

WEKIT may suspend or terminate your access to MirageXR if:

  • you materially breach this Agreement;
  • the Application is misused or used unlawfully;
  • continued access would create a legal, security, or operational risk;
  • suspension or termination is required by law, regulation, court order, or competent authority.

Where reasonably practicable and appropriate, WEKIT will seek to give notice before termination or suspension.

Upon termination, your right to use MirageXR shall cease immediately, and you must stop using the Application and delete or remove any installed copies where applicable, subject to any rights or obligations that by their nature survive termination.

19. Third-Party Platforms

Where MirageXR is distributed through an application marketplace, app store, or similar distribution platform, including the Apple App Store or Google Play, this Agreement is concluded between you and WEKIT, and not with the platform operator.

The platform operator is not responsible for the Application, its maintenance, or support, but may be recognised as a third-party beneficiary of those provisions of this Agreement that are required by applicable platform rules or policies.

Your use of MirageXR through such a platform may also be subject to that platform’s own terms and policies.

20. Entire Agreement and Severability

This Agreement constitutes the entire agreement between you and WEKIT ECS LIMITED concerning MirageXR and supersedes any prior agreements, discussions, communications, or understandings relating to its subject matter, except where a separate written agreement exists between WEKIT and an Organisation deploying the platform.

If any provision of this Agreement is held by a court or competent authority to be invalid, unlawful, or unenforceable, that provision shall be interpreted or, if necessary, severed to the minimum extent required to make this Agreement valid and enforceable, and the remaining provisions shall remain in full force and effect.

A failure or delay by WEKIT in exercising any right or remedy under this Agreement shall not constitute a waiver of that or any other right or remedy.

21. Governing Law and Jurisdiction

This Agreement and any dispute or claim arising out of or in connection with it shall be governed by the laws of Ireland, without prejudice to any mandatory rights or protections available to consumers under the laws of the country in which they habitually reside.

The courts of Ireland shall have jurisdiction to hear any dispute arising under or in connection with this Agreement, save that consumers may also have the benefit of rights to bring proceedings in their country of residence where required by applicable law.
